Terms of Service
Effective Date:
These Terms of Service (“Terms”) govern your access to and use of Aderic, including the website at aderic.io, the Aderic application, trials, lead credits, and related services.
Aderic is operated by FireFly Tech Oy, a limited liability company registered in Finland, VAT number FI33521654, with its registered address at Sienimaenkatu 7C 24, 55510, Imatra, Finland (“Aderic,” “we,” “us,” or “our”).
By creating an account, starting a trial, purchasing credits, or using Aderic, you agree to these Terms.
1. Business Use
Aderic is a business-to-business service.
You may use Aderic only if:
- you are at least 18 years old;
- you have legal capacity to enter into these Terms;
- you are using Aderic for legitimate business purposes;
- you have authority to act for the business associated with your account.
You may not create an account on behalf of another organization without authority to do so.
2. What Aderic Does
Aderic is an AI-assisted sales platform for businesses selling products and services into construction projects.
Depending on the features enabled for your account, Aderic may:
- understand your business and offering;
- apply your confirmed service territory;
- identify potentially relevant construction projects;
- research companies and professional business contacts associated with those projects;
- evaluate whether an opportunity appears relevant;
- prepare personalized business communications;
- conduct authorized outreach;
- perform limited follow-up;
- process and classify responses;
- display interested commercial conversations in your dashboard.
Aderic is not a general-purpose bulk email platform, raw contact database, permit-data resale service, or unrestricted lead-scraping tool.
3. Your Business Profile and Instructions
You are responsible for providing accurate information about your business.
This may include:
- your company identity;
- website;
- products and services;
- geographic service area;
- business restrictions;
- information Aderic may communicate to prospective buyers.
You must not provide false, misleading, fraudulent, or unauthorized information.
Aderic may use artificial intelligence and third-party data to propose targeting criteria, but you remain responsible for confirming the business information and targeting instructions presented to you.
Your confirmed service territory is treated as a restriction. Aderic is not authorized to intentionally expand your campaign beyond that territory unless you approve the change.
4. Authorization to Conduct Outreach
Completing a business profile does not automatically authorize outreach.
Outreach begins only after the applicable sending setup and campaign authorization are completed.
When you authorize an Aderic campaign, you authorize Aderic to use the approved information about your business to contact relevant professional business recipients for the purpose of introducing your offering and identifying legitimate commercial interest.
You represent and warrant that:
- you are authorized to promote the relevant business and offering;
- information provided about your company is accurate;
- you have the right to use any sender identity you connect or approve;
- your products or services may lawfully be offered in the relevant territory.
Aderic does not receive authority to execute contracts, accept purchase orders, agree to prices, provide warranties, offer discounts, or make binding commercial commitments on your behalf unless a future feature expressly provides such authority and you separately approve it.
Requests involving pricing, contractual commitments, warranties, delivery guarantees, or other material business terms may be referred to you.
Connected Email Accounts
If you connect a Gmail, Google Workspace, or other supported business email account to Aderic, you authorize Aderic to use that connection to send business communications from the connected sender identity as part of outreach workflows that you have authorized through the Service.
You represent that you are authorized to connect and use the applicable email account and sender identity.
A Google OAuth connection for email sending does not authorize Aderic to read, modify, organize, or delete your general Gmail inbox unless a separate future feature clearly requests such permission and you separately authorize it.
Where Aderic supports an application-specific password or similar provider credential, you must use a credential that you are authorized to create and provide for that account. Aderic will not ask you to provide the ordinary primary password for your Google Account.
Connecting an email account does not authorize you or Aderic to circumvent provider restrictions, applicable law, recipient opt-outs, suppression rules, or the Outreach Standards in these Terms.
Google OAuth sending may be used only for communications allowed by Google's policies. It is limited to authorized replies within validated existing conversations. It cannot be used to send unsolicited commercial first messages, and connecting an account is not proof that a recipient consented to receive commercial email.
5. Outreach Standards
Aderic is designed for targeted and relevant business-to-business communications connected to identifiable commercial opportunities.
You may not use Aderic to:
- send spam;
- run indiscriminate mass-mailing campaigns;
- contact recipients for purposes unrelated to your approved business offering;
- send deceptive or misleading messages;
- impersonate another person or organization;
- falsify sender information;
- promote illegal goods or services;
- circumvent email-provider restrictions;
- evade opt-outs or suppression lists;
- upload or use data obtained unlawfully;
- harass recipients;
- continue contacting a recipient who has clearly requested that communications stop.
Aderic may apply volume limits, relevance requirements, suppression rules, review requirements, or other safeguards.
We may refuse to contact a person or company, pause a campaign, or suspend an account where we believe continued activity could violate law, provider rules, these Terms, or create material abuse or reputation risk.
6. Construction and Contact Data
Aderic may use public records, construction-data providers, websites, business directories, search services, and other permitted sources to identify relevant projects and companies.
Project and contact information may be incomplete, delayed, inaccurate, or outdated.
A building permit, project record, company association, or professional contact does not by itself guarantee:
- that a project has started;
- that a procurement opportunity remains open;
- that a particular person is responsible for the purchase;
- that a recipient needs your product;
- that a recipient will respond;
- that a recipient will buy.
Aderic may distinguish between confirmed information, reasonable inference, and unknown information, but errors may still occur.
7. Qualified Leads
Aderic charges for qualified commercial results rather than raw project records or email addresses.
For the purposes of the MVP, a Qualified Lead generally means:
- the underlying project or commercial opportunity reasonably matches the customer’s approved offering and territory;
- the contacted company or professional is reasonably connected to the relevant purchasing opportunity; and
- the recipient provides a substantive response indicating interest in a real next commercial step.
Examples may include a recipient who:
- requests pricing;
- asks for a quotation;
- asks for additional product or service information in connection with the project;
- confirms that proposals are still being considered;
- agrees to discuss a specific requirement;
- requests contact with the customer’s sales team.
The following do not normally count as Qualified Leads:
- an email open;
- a link click by itself;
- a bounce;
- an automated out-of-office response;
- an automated acknowledgement;
- a generic “thank you” with no substantive interest;
- an unrelated response;
- a response concerning a project clearly outside the approved customer profile;
- multiple messages from the same buyer concerning the same underlying opportunity.
Aderic may review disputed leads and restore a credit where a result was incorrectly classified.
8. Free Trial
Eligible new business accounts may receive the first three Qualified Leads at no charge.
No payment card is required merely to begin the standard MVP trial.
The free trial is a limited campaign, not an obligation by Aderic to conduct unlimited research or unlimited outreach until three Qualified Leads are produced.
The trial may be subject to limits on:
- projects researched;
- opportunities approved for outreach;
- messages sent;
- follow-up attempts;
- campaign duration;
- supported territories or categories.
Applicable trial limits will be displayed in the product or communicated before campaign launch.
If a trial reaches its applicable campaign limits before producing three Qualified Leads, Aderic may stop the campaign without charging you.
Aderic will not convert the MVP trial into a recurring paid subscription automatically.
9. Paid Lead Credits
The initial one-time Aderic lead credit packs are:
5 Qualified Lead credits for USD $149, or 10 for USD $249.
Each unique Qualified Lead consumes one available lead credit.
At zero credits, new introductions pause. Replies and follow-ups to existing outreach remain active. Late Qualified Leads from that outreach are provided free, without a negative balance or overage.
This is a one-time purchase.
There is:
- no recurring subscription;
- no automatic renewal;
- no automatic credit top-up unless you separately enable a future feature that clearly states otherwise.
Any applicable taxes or payment-provider charges shown at checkout form part of the final amount presented before payment.
Lead credits never expire.
We will not retroactively shorten the validity of credits you already purchased.
10. Payments
Dodo Payments processes checkout and payments as merchant of record.
That provider may collect payment information directly and may apply its own checkout, tax, fraud-prevention, and payment terms.
Aderic may receive transaction information necessary to:
- confirm successful payment;
- grant purchased credits;
- prevent duplicate credit issuance;
- process refunds;
- reconcile transactions.
Your purchase is complete only when the applicable payment provider confirms successful payment.
11. Refunds and Lead Disputes
Refunds and billing corrections are governed by our Refund and Cancellation Policy, available at:
If a result was incorrectly classified as a Qualified Lead, the normal remedy is restoration of the lead credit.
This does not limit any refund or other right that cannot legally be excluded.
12. Artificial Intelligence
Aderic uses artificial intelligence and automated systems.
You understand that AI systems may:
- misunderstand information;
- produce incomplete analysis;
- make incorrect classifications;
- generate inaccurate text;
- fail to identify relevant information.
Aderic is designed to reduce these risks using structured data, source information, software rules, and review mechanisms, but cannot eliminate them.
You should not rely on Aderic as the sole source of truth for legally or commercially binding decisions.
13. No Guarantee of Commercial Results
Aderic does not guarantee:
- a minimum number of available projects;
- that every customer will receive three Qualified Leads;
- that recipients will reply;
- email delivery or inbox placement;
- meetings;
- quotations;
- contracts;
- revenue;
- profit;
- customer acquisition cost;
- conversion rate;
- procurement availability;
- accuracy of every external data source.
The Service is intended to identify and develop potential commercial opportunities, not guarantee sales.
14. Your Account
You are responsible for maintaining the security of your account.
You must promptly notify us if you suspect unauthorized access.
You may not:
- sell or transfer your account without permission;
- share access in a manner that defeats account controls;
- attempt to access another customer’s data;
- interfere with platform security;
- reverse engineer protected portions of the Service except where applicable law expressly permits it;
- abuse APIs, rate limits, or infrastructure.
15. Intellectual Property
Aderic and its software, branding, interface, design, models, workflows, documentation, and related intellectual property are owned by FireFly Tech Oy or its licensors.
These Terms grant you a limited, non-exclusive, non-transferable right to use Aderic for your internal business purposes while your account remains in good standing.
You retain ownership of information, materials, trademarks, and content that you provide to Aderic.
You grant Aderic the limited rights necessary to process that information and represent your approved business offering for the purpose of providing the Service.
16. Feedback
If you voluntarily provide suggestions, ideas, or feedback concerning Aderic, we may use them to improve the Service without restriction or payment to you.
This does not give us ownership of your confidential business information.
17. Privacy
Our handling of personal information is described in our Privacy Policy:
By using Aderic, you acknowledge that information may be processed by service providers necessary to operate the Service.
18. Third-Party Services
Aderic depends on third-party services for certain functions, which may include:
- authentication;
- construction data;
- search;
- email infrastructure;
- artificial intelligence;
- hosting;
- payments.
Third-party services may change, experience outages, impose limits, or discontinue features.
We are not responsible for failures caused solely by third-party systems outside our reasonable control.
We may replace a third-party provider without materially reducing the core functionality you purchased.
19. Suspension and Termination
You may stop using Aderic at any time.
Where available, you may pause active outreach from your account.
We may suspend or terminate access if:
- you materially violate these Terms;
- your use appears fraudulent or abusive;
- your activity creates material security or deliverability risk;
- you use Aderic for unlawful or prohibited communications;
- required payment is reversed or fraudulent;
- continued operation would violate applicable law or a critical third-party provider requirement.
Where reasonable, we will attempt to provide notice and an opportunity to resolve the issue.
We may suspend sending functionality immediately where necessary to prevent abuse or harm.
20. Service Changes
Aderic is an early-stage product and may change as we improve it.
We may add, modify, or discontinue features.
We will not intentionally remove already purchased lead credits without providing an appropriate remedy.
Material changes to pricing will apply prospectively and will be shown before a new purchase.
21. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Aderic is provided on an “as is” and “as available” basis.
We disclaim warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement where such disclaimers are legally permitted.
Nothing in these Terms excludes warranties or rights that applicable law does not allow us to exclude.
22. Limitation of Liability
To the maximum extent permitted by applicable law, FireFly Tech Oy and its directors, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost business opportunities, or loss of data arising from the use of Aderic.
To the maximum extent permitted by law, our aggregate liability arising from the Service will not exceed the greater of:
- the amount you paid to Aderic during the six months immediately preceding the event giving rise to the claim; or
- USD $100.
These limitations do not apply where liability cannot legally be limited or excluded.
23. Responsibility for Your Instructions
You are responsible for claims, representations, product information, prices, specifications, and other business information that you provide to Aderic.
To the extent permitted by applicable law, you agree to be responsible for losses or third-party claims resulting from your:
- intentional misuse of Aderic;
- unlawful instructions;
- knowingly false business information;
- unauthorized use of another company’s identity or sender;
- violation of applicable law.
24. Changes to These Terms
We may update these Terms from time to time.
Material changes will apply prospectively and, where appropriate, we will provide notice through the Service or by email.
Continuing to use Aderic after updated Terms take effect means you accept the revised Terms.
25. Governing Law
These Terms are governed by the laws of Finland, without regard to conflict-of-law principles.
To the extent permitted by applicable law, disputes arising from these Terms or Aderic will be subject to the courts with jurisdiction in Finland.
Mandatory rights that apply to you under applicable law are not waived by this section.
